These Terms of Service (“Terms”) govern your use of the of the RU4M App and RU4M Website (hereinafter referred as: Services) as set forth below. These Terms form a legally binding contract between you and RU4M doo Beograd (“RU4M“, “our“, “we” or “us“). Please read them carefully. These Terms incorporate and are governed by the RU4M Privacy Policy.

To the extent the Terms conflict with any other RU4M terms, policy, rules or codes of conduct, the terms contained in these Terms shall govern.

You hereby confirm that you have read and understood the terms and that by installing the RU4M app, accessing or using our Website, you agree to be bound by the Terms. You agree to comply with all applicable laws and regulations when using the RU4M app and Website.

You agree to pay all applicable fees and applicable taxes incurred by you or anyone using an Account registered to you.

CHANGES TO THE TERMS: We may update or change our Services, including their functionality from time to time, and revise these Terms to reflect our Services correctly. Changes to these Terms shall become effective upon the expiration of the 30 days’ notice. If you do not agree with any changes to the Services or the Terms, you may terminate your relationship with us in accordance with the Termination Section. It should be noted that changes to these Terms or the RU4M App, will take effect immediately without prior written notice where such changes are exclusively to your benefit, where they are of a purely administrative nature and have no negative effect on you, or where they are directly imposed by law.

Our Services

RU4M App is a Desktop and mobile communication and messaging app enabling on-the-go professionals to efficiently connect and organize productive in-person meetings using advanced geolocation technology.

We reserve the right to change, update, upgrade, modify and revise our Services and the RU4M App at any time, we also reserve the right to discontinue the Services. Note that, some services may not be available in your country.

Currently we offer the services free of charge, but we reserve the right to introduce in-app payments or a periodic recurring subscription, but we reserve the right to introduce in-app payments, subject to 30 days' prior notice.

Legal Capacity and Eligibility

If you are under the age of legal capacity in your place of residence, you are not allowed to create an Account or use the Services. You should use our Services only if you are fully able to understand and enter into and comply with these Terms. You hereby warrant that you are eligible to enter into these Terms and that you are not prohibited by any competent authority, judicial order or law from entering into any agreement; you have all proper authorizations, to agree to these Terms.

Account and Registration

To use the Service, you will need to create an account. You agree to provide us with accurate, complete, and updated information. You are responsible for any activity that occurs in your account.

In order to access or use RU4M application, you will need to register and create an account by selecting a password and providing your name and other contact information including your age (“Account“). Any information provided through the registration process is governed by the RU4M Privacy Policy.

You hereby represent and warrant that you will provide true and complete registration details. If we believe the details are not correct or complete, we have the right to prevent you from accessing our Services, or any of its resources and to terminate or suspend your Account. RU4M does not monitor and is not obligated to monitor the registration details or your password security, you hereby acknowledge you are solely responsible to protect your information and password and to ensure you username and password are secure. You are responsible for all activities that occur under your Account. You agree to notify RU4M immediately of any unauthorized use of your Account or any breach of security. RU4M will not be liable for any loss that you may incur as a result of someone else using your Account, with or without your knowledge. In addition, you may be held liable for any losses incurred by us or another party due to someone else using your Account. RU4M shall be entitled to monitor your Account and password and, at its sole discretion, require you to change your password.

Licenses and Intellectual Property Rights

RU4M licenses and grants you certain limited, revocable, non-exclusive, non-sublicensable rights so that you will be able to use the RU4M App. You will also grant us a perpetual, worldwide, royalty-free, irrevocable, non-exclusive, unlimited right and license to your Content, with the right to sublicense, to use, reproduce, modify, adapt, publish, publicly perform, publicly display, digitally display and digitally perform, translate, create derivative works from your Content and distribute such Content or incorporate such Content into any form, medium, or technology now known or later developed throughout the world. You agree that you shall have no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in the Content you provide to us.. However, RU4M does not claim any ownership to the information that you submit through your Account or through our Services (“the Content”). You agree that you will not, under any circumstances submit Content that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable or offensive or submit Content that contains nudity, excessive violence, or offensive subject matter or that contains a link to such content.

By transmitting or submitting any Content while using the Services, you affirm, represent and warrant that such transmission or submission is (a) accurate and not confidential; (b) not in violation of any applicable laws, contractual restrictions or other third party rights, and that you have permission from any third party whose personal information or intellectual property is comprised in the Content; (c) free of viruses, adware, spyware, worms or other malicious code; and (d) you acknowledge and agree that any of your personal information within such content will at all times be processed by RU4M in accordance with its Privacy Policy.

Our Services and materials incorporated by RU4M on our Services are protected by copyrights, patents, trade secrets or other proprietary rights. Some of the characters, logos, or other images incorporated by RU4M in our Services are also protected as registered or unregistered trademarks, trade names, or service marks owned by RU4M or others (“Trademarks”). RU4M or its licensors own the title, copyright, and other intellectual property rights in the Material, RU4M App and the Services, and by using our Services, you do not acquire any ownership rights in the Services or any Material contained therein. You may not use our copyrights, trademarks (or any similar marks), domains, logos, trade dress, trade secrets, patents, and other intellectual property rights unless you have our express permission. You may not decompile, reverse engineer, disassemble, rent, lease, loan, sell, sublicense, or create derivative works from RU4M App and RU4M Website. Nor may you use any network monitoring or discovery software to determine the site architecture, or extract information about usage, individual identities or users. You may not use any robot, spider, other automatic software or device, or manual process to monitor or copy RU4M App and RU4M Website without our prior written permission. We grant you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to use our Services, subject to and in accordance with our Terms, no licenses or rights are granted to you by implication or otherwise, except for the licenses and rights expressly granted to you. You will not transfer any of your rights or obligations under our Terms to anyone else without our prior written consent. We, our affiliates, and our third-party partners may place advertisement on the Services, which may sometimes appear near, between, over, or in your Content.

Restrictions of Use

Our Services are intended for lawful purposes and in accordance with applicable law. You are prohibited from storing, distributing, or disseminating any unlawful material through our Services. If you do not comply with this prohibition, you may be exposed to criminal or civil liability, termination or suspension of these Terms, your Account and use of the Services and removal of your Content.

Third party goods and services

Our Services may link you to other sites on the Internet and third-party partners which cooperate with us to provide you certain services. These other sites are not under the control of RU4M, and you acknowledge that RU4M is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such sites, and that your use of such sites is subject to their respective terms of use. The inclusion of such a link does not imply endorsement of any site by RU4M or any association with its operators.

We do strongly encourage you to make whatever investigation you feel necessary or appropriate before proceeding with any online transaction with any of these third-parties.

Termination

If you are using our free Services, you may terminate your relationship with RU4M by simply ceasing to use the Services. RU4M has the right to terminate your rights under our Services without notice, including, without limitation, by blocking you, suspending or terminating your Account, if you are in breach of our Terms or other policies, or if we decide not to provide the Services or any part of Services. It is your sole liability to export any information or data you wish to keep upon termination or expiration of these Terms or prior to uninstalling the RU4M App. RU4M shall not be liable for any loss of data arising from termination of Terms, expiration or termination of the Services or uninstalling of the RU4M App.

Support

We do not guarantee that the Services will always function without disruptions, delay or errors.

From time to time, we may need to perform maintenance on or upgrade the Service. This may require RU4M to temporarily suspend or limit your use of the Services. You will not be entitled to claim damages for such suspension or limitation of the use.

In order to use our Services, you consent to download and install updates to our Services.

Disclaimer of Warranties

Although we make great efforts to make our services error and interruption free, we cannot promise that such efforts will result with such desired performance. YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US SHALL CREATE A WARRANTY. OUR SERVICES AND ALL THE MATERIALS, INFORMATION, SOFTWARE, FACILITIES, SERVICES AND OTHER CONTENT IN THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, RU4MAND ANY SUBSIDIARIES OR AFFILIATED COMPANIES OF RU4M (“THE RU4M GROUP”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE RU4M GROUP DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED ON OR THROUGH OUR SERVICES WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE RU4M GROUP DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIAL, INFORMATION, SOFTWARE, FACILITIES, SERVICES, OR OTHER CONTENT ON THE SERVICES OR ANY WEBSITES LINKED TO THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. THE RU4M GROUP MAKES NO WARRANTIES THAT YOUR USE OF THE MATERIALS, INFORMATION, SOFTWARE, FACILITIES, SERVICES, OR OTHER CONTENT INCLUDED IN THE SERVICES WILL NOT INFRINGE THE RIGHTS OF OTHERS AND THE RU4M GROUP ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ERRORS OR OMISSIONS IN SUCH MATERIALS, INFORMATION, SOFTWARE, FACILITIES, SERVICES, OR OTHER CONTENT INCLUDED IN THE SERVICES OR ANY OTHER WEBSITE. IF APPLICABLE LAW DOES NOT ALLOW THE EXCLUSION OF SOME OR ALL OF THE ABOVE IMPLIED WARRANTIES TO APPLY TO YOU, THE ABOVE EXCLUSIONS WILL APPLY TO YOU ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

Limitation of liability

RU4M DOES NOT EXCLUDE OR LIMIT ITS LIABILITY TO YOU WHERE IT WOULD BE ILLEGAL TO DO SO. THIS INCLUDES ANY LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE OR THE NEGLIGENCE OF OUR EMPLOYEES, AGENTS OR SUBCONTRACTORS; FOR FRAUD OR FRAUDULENT MISREPRESENTATION; IN COUNTRIES WHERE EXCLUSIONS OR LIMITATIONS OF LIABILITY ARE ALLOWED, THE RU4M GROUP WON’T BE LIABLE FOR: (i) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR (ii) ANY LOSS OF USE, DATA, BUSINESS OR PROFITS, REGARDLESS OF LEGAL THEORY. THESE EXCLUSIONS OR LIMITATIONS WILL APPLY REGARDLESS OF WHETHER OR NOT A MEMBER OF THE RU4M GROUP HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES. WE ONLY PROVIDE THE SERVICES FOR DOMESTIC AND PRIVATE USE. IF YOU USE THE SERVICES FOR ANY COMMERCIAL OR, BUSINESS PURPOSE, THE RU4M GROUP WILL HAVE NO LIABILITY TO YOU FOR ANY LOSS OF PROFIT, LOSS OF BUSINESS, BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITY. OTHER THAN FOR THE TYPES OF LIABILITY WE CANNOT LIMIT BY LAW, WE LIMIT OUR LIABILITY TO YOU TO THE GREATER OF $100 USD OR 100% OF ANY AMOUNT YOU’VE PAID TO US FOR YOUR USE OF THE SERVICES WITHIN THE 12 MONTHS PRECEDING YOUR CLAIM FOR DAMAGES.

Indemnity

You agree to indemnify and hold harmless The RU4M Group and any of its officers, directors, employees, agents or affiliates from and against any and all claims, demands, liabilities, costs or expenses, including reasonable attorney’s fees, resulting from your breach of these Terms, including any of the foregoing provisions, representations or warranties, from your placement or transmission of any content onto RU4M’s servers and/or from any and all use of or inability to use your Account.

If you have a dispute with one or more users (including game developers and/or merchants), you release The RU4M Group from all claims, demands, liabilities, costs, or expenses and damages (actual and consequential of every kind and nature, known and unknown, arising out of or in any way connected with such disputes). In entering into this release, you expressly waive any protections (whether statutory or otherwise), to the extent permitted by applicable law, that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.

You agree that the provisions in this paragraph will survive any termination of your Account(s) or of the Services.

Confidentiality

"Confidential Information" includes any proprietary data and any other information disclosed by one party to the other in writing and marked "confidential" or disclosed orally and, within five business days, reduced to writing and marked "confidential". Notwithstanding the foregoing, Confidential Information will not include any information that is or becomes known to the general public without breach of confidentiality, which is already in the receiving party's possession prior to disclosure by a party or which is independently developed by the receiving party without the use of Confidential Information. Neither party will use or disclose the other party's Confidential Information without the other's prior written consent except for the purpose of performing its obligations under the Terms or if required by law, regulation or court order. In which case, the party being compelled to disclose Confidential Information will give the other party as much notice as is reasonably practicable prior to disclosing such information. Upon termination of the Terms, the parties will promptly either return or destroy all Confidential Information and, upon request, provide written certification of such.

Governing law and Jurisdiction

To the extent permitted by lawthe laws of the Republic of Serbia govern these Terms and any claims and disputes arising out of or relating to these Terms or their subject matter shall be filed only in courts located in Belgrade, Republic of Serbia and you hereby consent and submit to the personal jurisdiction of such courts for the purpose of litigating any such action.

Miscellaneous

If any provision of these Terms is adjudged, by written decision, to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. These Terms are the entire agreement between you and RU4M relating to the matters contained herein and the Services. Failure by RU4M to enforce any rights or to take any action against you in the event of any breach hereunder shall not be deemed as a waiver of such rights or of subsequent actions in the event of future breaches. These Terms and any right granted herein may not be assigned by you without the prior written consent of RU4M. RU4M may assign its rights and obligations set forth herein at any time, at its sole discretion, to any of our affiliates or in connection with a merger, acquisition, restructuring, or sale of assets, or by operation of law or otherwise. In the event of such an assignment, RU4M will only transfer your information in compliance with applicable laws, and ask for your consent where required. These Terms will continue to govern your relationship with such third-party, if you do not agree to such an assignment, you must stop using the Services, delete your RU4M Account and uninstall the App.

RU4M shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of RU4M, including without limitation any failure to perform hereunder due to unforeseen circumstances or cause beyond RU4M’s control including but not limited to acts of God, war, terrorism, riots, embargoes, pandemics, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

In the event you read these Terms in any language other than English, you agree that in the event of any discrepancies, the English version shall prevail.
